Trading Terms

Trading terms and conditions 2019

All quotations are made and orders accepted subject to the following Terms of Trading and no alteration or modifications or terms inconsistent herewith shall have effect unless embodied in a formal Agreement with the customer as expressly accepted by Cornico Coffee Ltd in writing signed by a Director, Secretary or Manager. Where the context permits, these Terms shall apply to the provision of services as well as the supply of goods. These terms are correct as of January 2019 but Cornico Coffee Ltd reserves the right to vary them without notice. An updated copy, if applicable, will be supplied on request.

2. Information Prior to Quotation

Should any information or data supplied by the customer to Cornico Coffee Ltd for the preparation of the quotation prove not to be sufficient or accurate, Cornico Coffee Ltd reserve the right to amend the quotation and increase the quoted price to cover any resultant increase in cost?

3. Terms of Capital Equipment Order

To be signed by Proprietor or Partner of business or Director of Limited Company and returned by, post or email, with agreed deposit of no less than 20% Prices exclude VAT where applicable. Cornico Coffee Terms of Trading apply to this and all future transactions. The order may be cancelled in writing within 14 days of deposit/signing, but not after machine is delivered to Cornico Coffee, thereafter a fee of 20% is payable Capital items require balance payment prior to or on delivery.

4. Prices

Cornico Coffee Ltd reserves the right to vary its prices without notice and unless otherwise expressly specified in the quotation. Goods and services will be
supplied and invoiced at Cornico Coffee Ltd prices ruling at the time of delivery. Items marked * denotes VAT payable at current rate.
All Equipment is priced net and subject to VAT. Prices correct at time of printing and are subject to change at any time. All cup costs have been calculated as per manufacturers’ recommendations and have been rounded up or down to the nearest full pence.

5. Delivery and terms of dispatch

Minimum delivery is £25.00; however, this can be waivered at the discretion of the Company if it feels fit to do so.

6. Claims for damage and shortage

Cornico Coffee Ltd shall be under no liability of any claim for alleged shortage or damage of the goods which would have been discovered upon reasonable inspection of the goods by the customer upon delivery or installation. Any claim in respect of damage or shortage of goods against a Cornico Coffee Ltd invoice must be made to Cornico Coffee Ltd by the customer within forty-eight hours after receipt of goods and confirmed in writing within 5 working days thereafter for claims to be valid. Cornico Coffee may charge a restocking fee for items ordered in error which will include costs of delivery and collection.

7. Installation of equipment

Where relevant, the customer will be responsible for the provision of mains services (water, drainage, power etc.) to within one clear meter of the equipment points. Or as specified for each of the goods in the quotation upon each site or sites. In the event of the goods being delivered and the site or sites services being incomplete Cornico Coffee Ltd reserves the right to levy such charges as are necessary to cover any additional costs incurred during the installation and for the re-delivery and or installation where applicable.

8. Settlement Terms

Unless otherwise specified in the quotation or other agreement, invoices for goods supplied under credit account terms must be paid by the 15th of month following invoice. Cornico Coffee Ltd reserves the right to charge interest at the rate of 4% per annum over the Bank of England base rate from the due date until the date of the actual payment and to levy any debt collection and legal charges incurred through late payment. Time of payment is the essence of the agreement. The customer shall not be entitled to make any deduction from the price in respect of any set-off or counterclaim.

9. Property and Risk

All risk in the goods shall pass to the customer on delivery. Legal title in the goods shall remain with Cornico Coffee Ltd until payment of the price (including any interest charged in accordance with the proceeding condition) has been received and cleared in full by Cornico Coffee Ltd. When payment is overdue Cornico Coffee Ltd or its agents shall be entitled to enter upon any premises where the goods may be for re-taking possession thereof.

10. Warranty

Subject to the conditions set out in the warranty agreement which correspond with the specification at the time of delivery, new equipment will be free from defects in material and workmanship normally for a period of twelve months from the date of delivery, or for a different period as specified in the Cornico Ltd warranty policy as at the date of delivery.

11. Brand Protection

Where branded merchandise (e.g. crockery, signage and other merchandise) have been supplied by Cornico Coffee Ltd., these items are supplied only for use with the primary branded products, they represent. If the customer elects to use alternative (not the same branded) products or purchase products from another supplier, Cornico Coffee Ltd reserve the right to remove all branded merchandise after a two-month period from last order, without prior notice.

12. Liability and Indemnity

In no event, shall Cornico Coffee Ltd be liable for economic loss, which shall include loss of profit, business revenue, goodwill and anticipated savings or
damages in respect of special indirect or consequential loss or damage, other than direct physical damage to property caused by negligence of the company employees. The customer shall indemnify Cornico Coffee Ltd against all claims and demands made against it by third parties relating to the goods or there use by the customer save for any claim or demand in respect of death or personal injury to the extent that it results from the negligence of Cornico Coffee Ltd or its employees.

13. Return of goods

Goods cannot be returned to the company unless agreed in writing signed by a Director, secretary or Manager of Cornico Coffee Ltd. In any event, returns will not be considered after 14 days from date of invoice and any decision by Cornico Coffee Ltd. is final. Acceptance by Cornico Coffee Ltd of returned goods shall not amount to or be construed as agreement to cancel an order or an admission of any defect in such goods. Cornico Coffee Ltd reserves the right to make a handling charge in respect of any goods so returned.

14. Applicable Law

English law shall apply and any dispute shall be settled by the English Courts.
